Terms of Use

These Terms of Use (“Terms”) govern your use of the Townie Local mobile application, townielocal.com, and related services operated by Townie Social LLC (“Townie,” “we,” “us,” or “our”). By creating an account or using Townie, you agree to these Terms and our Privacy Policy.

Eligibility

You must be at least 18 years old and legally capable of agreeing to these Terms. By using Townie, you confirm that you meet these requirements.

Your Account

You are responsible for maintaining the security of your account, providing accurate information, and all activity conducted through your account. You may not sell, transfer, or share access to your account. Contact us promptly if you believe your account has been compromised.

Acceptable Use

You agree not to:

• Post or share content that is hateful, abusive, harassing, discriminatory, threatening, violent, sexually explicit, unlawful, or otherwise harmful
• Spam, scam, impersonate others, misrepresent your identity or affiliation, or attempt to mislead users
• Stalk, exploit, endanger, or invade the privacy of another person
• Promote illegal activity or create events that violate applicable law
• Interfere with Townie’s operation or attempt to gain unauthorized access to accounts, systems, or data
• Collect or use information about other users for unauthorized commercial, surveillance, or harmful purposes
• Use automated systems to scrape, copy, or manipulate Townie without our written permission

User Content

You retain ownership of content you create. By posting content through Townie, you grant Townie a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute that content only as reasonably necessary to operate, improve, and promote the Townie service. This license ends when your content is deleted, except where continued retention is legally required or the content has been shared with others and remains part of their activity.

You represent that you have the rights needed to post your content and that your content does not violate these Terms, applicable law, or another person’s rights.

Moderation and Reports

We may remove content, restrict features, or suspend or terminate accounts when we reasonably believe these Terms have been violated or action is needed to protect Townie or its users. We aim to review reports of objectionable content promptly, but we do not guarantee a particular outcome or response time. You may request review of a moderation decision by contacting Townie Support.

Events and In-Person Activities

Events and activities may be created, organized, or hosted by users, groups, businesses, or other third parties. Townie does not organize, supervise, endorse, or control those events unless Townie is expressly identified as the organizer.

You are responsible for deciding whether an event or activity is appropriate and safe. Participation is voluntary and may involve risks, including personal injury, property loss, travel, venue conditions, and interactions with other people. Townie does not guarantee the identity, conduct, safety, accuracy, legality, or reliability of hosts, attendees, venues, or event information.

Use reasonable judgment, follow applicable laws, meet in appropriate public settings when warranted, and contact emergency services when immediate assistance is needed.

Third-Party Services

Townie may contain links to or rely on third-party services. We are not responsible for third-party content, services, availability, or privacy practices. Your use of those services may be governed by separate terms.

Changes and Availability

We may add, change, suspend, or discontinue features. We do not guarantee that Townie will always be available, uninterrupted, secure, or error-free.

Disclaimers

To the fullest extent permitted by law, Townie is provided “as is” and “as available,” without warranties of any kind, whether express or implied. We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant the conduct of users or the safety or accuracy of events and content.

Limitation of Liability

To the fullest extent permitted by law, Townie Social LLC and its members, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or opportunities, arising from or related to your use of Townie, user conduct, or participation in events. Nothing in these Terms excludes liability that cannot legally be excluded.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Townie Social LLC and its members, officers, employees, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from your content, your conduct, your events, your violation of these Terms, or your violation of another person’s rights.

Termination

You may stop using Townie at any time and may request account deletion. We may suspend or terminate access when you violate these Terms, create risk or legal exposure, or misuse the service. Provisions that by their nature should survive termination will remain in effect.

Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles. Any dispute not subject to another legally required forum will be brought in a court of competent jurisdiction located in Massachusetts.

Changes to These Terms

We may update these Terms as Townie develops. We will update the effective date and provide additional notice when appropriate. Continuing to use Townie after updated Terms take effect means you accept them.
